This is an agreement between CrimLawTech, LLC ("Service Provider") and "the User" ("User"). By using this service ("Service"), the Client agrees to these terms.
This agreement starts when the Client accepts it or first uses the Service.
The Service Provider provides a web-based document automation tool and organizational framework.
Framework Only: This Service provides only the technological framework and organizational tools. The Service itself is the web application, user interface, and document generation system - not the legal content, arguments, or language that may be included as examples.
No Legal Advice: The Service does not provide legal advice. The tool is intended to be used as a blank framework with user-supplied content. Any language, arguments, or legal content included by default is for example and demonstration purposes only and should not be relied upon for actual legal proceedings.
Sample Content Disclaimer: Any pre-populated legal arguments, language, or content included in the system are provided solely as examples to demonstrate the framework's capabilities. Users must not rely on sample content and are responsible for replacing all example content with their own legal research and arguments.
Client Responsibility: The Client is responsible for verifying the accuracy, legality, and appropriateness of all documents they create. The system generates organizational templates, not finalized legal documents. The Client must provide their own legal content, edit, review, and finalize all generated documents before use.
Information about fees is provided separately. Any setup or customization fees will be disclosed upfront and agreed upon separately. The Client will be notified at least 30 days before any fee changes take effect.
Billing: Billing occurs monthly, semi-annually (every 6 months), or annually via automatic subscription, at the client's choice. The pricing remains the same regardless of billing frequency. Invoices can be provided upon request. Payments are due within 30 days of the end of each billing cycle.
Renewals: Subscriptions automatically renew unless canceled.
Late Payments: The Service Provider may suspend the Client's account if payment is late.
Subscription Cancellation: The Client or the Service Provider can cancel anytime. When you cancel your subscription, you retain access until the end of your current billing period. After expiration, your account becomes inactive for 30 days to allow reactivation.
Immediate Cancellation: If you want immediate cancellation or data deletion, contact support at support@crimlawtech.com.
Data Management: The Client is responsible for exporting any data before cancellation and can manually delete content using the office settings page if desired.
No Refunds: The Service Provider does not issue refunds or partial refunds for monthly subscription fees, setup fees, customization fees, or support fees under any circumstances.
No Confidential Data: The system is not designed for attorney-client privileged or highly confidential information. The Client should not upload confidential or privileged information.
Client's Risk: The Client is responsible for any data they upload.
No Retention: The Service Provider does not guarantee data storage or backups after cancellation. The Client is strongly encouraged to maintain independent backups of their data at all times.

The Service Provider may suspend or terminate the Client's account if they violate this policy.
The Service Provider takes steps to protect the Service but cannot guarantee it is completely secure. The Client is responsible for safeguarding their passwords and account access. The Service Provider is not liable for unauthorized access or misuse of the system.
Customization and extra support may be available for an additional cost. Suggestions for improvements don't give the User ownership of the software or any rights to the underlying code, intellectual property, or future developments. These suggestions may be implemented at the sole discretion of the Service Provider without compensation or acknowledgment.
The Service Provider may change, discontinue, or stop updating the Service at any time without notice.

The Service is provided 'as-is,' without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or non-infringement.
NO LIABILITY FOR DAMAGES: IN NO EVENT SHALL THE COPYRIGHT OWNER OR CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
The Service Provider is not liable for damages. If liability is determined, it is limited to the fees the Client has paid in the last six months.
The Client agrees to cover any costs or claims arising from their use of the Service.
When you submit content, suggestions, or feedback to the Service Provider, you grant a non-exclusive, royalty-free, and irrevocable right to use, reproduce, publish, or modify such content for Service improvement purposes.
You are granted a limited license to access and use this website for its intended purpose. You are not permitted to download, modify, reverse engineer, or otherwise extract the website's source code or underlying technology beyond normal browser functionality.
The Service Provider reserves the right to terminate accounts, edit or remove content, and suspend access at its sole discretion for violations of these terms or other reasons deemed necessary for Service operation.
The Client is responsible for following all applicable laws.
New York law applies, and disputes must be resolved in Rochester, NY.
The Service Provider will make efforts to keep the Service operational but does not guarantee uninterrupted availability due to maintenance or unforeseen technical issues.
The software and content belong to the Service Provider. The Client does not gain ownership by using the Service.
This Service is designed for legal professionals. Users must have the legal knowledge and responsibility to verify the accuracy and appropriateness of all generated documents. The Service Provider is not responsible for ensuring document accuracy as all templates are starting points requiring professional review and editing.
This agreement replaces any previous agreements. The Service Provider may update it with 30 days' notice, and continued use means the Client accepts the changes.
By accessing or using the Service, the Client acknowledges and agrees to these terms in full. Continued use constitutes acceptance of any future updates to this Agreement.
